Capital Structuring
Mehta Global Advisory designs capital architecture that balances control, cost of capital, and execution certainty across jurisdictions. We map business objectives, risk appetite, and regulatory touchpoints, then propose structure options that align tax, legal, accounting, and bankability—so equity and debt work together instead of against each other. Scope includes holdco/OpCo stacks, SPVs and ring-fencing, shareholder rights and waterfalls, board and veto design, inter-company funding, dividend/repatriation pathways, and security/trustee frameworks (including inter-creditor mechanics and covenant packages). For cross-border needs, we align documentation with securities rules, central-bank and depository practices, marketing restrictions, and disclosure standards so cash flows, consents, and filings tell one consistent story. We lead redlines, coordinate counterparties, and deliver a closing set with clear post-close obligations.
Fundraising
We run the end-to-end capital raise—equity, debt, and structured solutions—with a process built for diligence and speed. Preparation covers the narrative, use-of-proceeds, financial model hygiene, KPIs, and a data room that anticipates investor/lender questions. For equity (private through pre-IPO) and debt (secured/unsecured, mezzanine, convertibles, project/asset-backed, securitization), we shape terms, negotiate term sheets, align covenants and security, and coordinate closing, filings, and post-close reporting. Where public markets are relevant, we support listing pathways and continuing-obligations readiness. Execution is jurisdiction-agnostic and coordinated with appropriately licensed intermediaries (e.g., broker-dealers, merchant bankers) in each country, with strict adherence to private-placement and marketing rules, KYC/AML, sanctions screening, and disclosure controls.
